This petition is presented on behalf of Westbridge Community Members to address violations of the Covenants, Bylaws, Roberts Rules, and the Georgia Annotated Code (OCGA). 

It seeks a Special Meeting as per Article 2.3 of the Bylaws to resolve these governance and electoral issues.

1. Budget Approval:

- As per OCGA Section 14-3-846 and Covenant Article 4.3, the Board must present a proposed budget for membership approval. No recorded vote exists for the current budget, and the unresolved issues since January 2024 persist.

 

2. Vacant Treasurer Role:

- Following the resignation of the Treasurer in August 2024, the vacancy remains unfilled, violating Bylaws Articles 3.5 and 3.7, and OCGA Section 14-3-804. This election must be conducted, then voted by the membership.

 

3. Governance Failures:

- The absence of the elected Secretary on key documents renders agreements, and contracts void, risking indemnification against officers.

Purpose of Special Meeting:

1. Prepare and vote on a proposed budget with detailed line items, including management and landscaping contracts.

 

2. Conduct an election to fill the vacant Treasurer position.

 

3. Ensure compliance with all governing documents and reaffirm transparency.
