On Friday, February 26, the board of directors of Gemloft reviewed the takeover offer that it submitted to the Financial Markets Regulatory Authority in France on February 18, 2016, and unanimously decided that the offer was contrary to the interests of Gemloft, its shareholders, employees and customers.

The financial terms of the acquisition offer do not reflect the true value and future aspirations of Gemloft associated with the current share price of the company
The negative impact of the offer on the company's employees, especially its creative teams and management, which fully believe in the importance of the company preserving its independence.
- The circumstances thanks to which Vivendi was able to increase its stake in Gemloft shares since 22 September 2015, which the Board of Directors sees as having occurred against the background of Vivendi's deceiving the minority shareholders and negatively affecting their interests after they sold their shares to Vivendi.
Based on the foregoing, the Board decided to hold another meeting at a later time, which will result in a comprehensive and detailed statement regarding the company's proposals regarding the acquisition offer in line with applicable laws.
