Ms. Constance Difede, a sitting member of the Board of Directors, gave privileged information to litigants in an ongoing 3-million dollar lawsuit against the Club. Her behavior is directly contrary to the best interests of the Club and is a flagrant violation of a Director's fiduciary duties. Ms. Difede is named in a sworn affidavit as a first-hand source of information, along with Dr. Michele Mass who was rightfully expelled from the Board for her betrayal. The litigants assert in their lawsuit's sworn affidavit that Ms. Difede and Dr. Mass provided them with details of private Board discussions. Details in this online article.

The Board sent an email to members on 24 May 2020 informing them that Dr. Mass had been expelled from the Board for flagrantly violating her fiduciary duties to the Club, but nearly 18 months later, Ms. Difede has not been expelled as Dr. Mass's cohort in this betrayal. Of the four people named in these transgressions, Ms. Difede is inexplicably still a Director.  The Board of Directors are accountable to the members and must take action to protect the Club from Ms. Difede's betrayal.

We, the undersigned members and associates of The Explorers Club, call on the Club President in this confidential petition to disclose to the membership an explanation of why the Board has taken no action against Director Constance Difede for being a source of privileged information to litigants against the Club.

Addendum: Ms. Difede bullied a GoPetition site administrator who disabled our previous petition of the same which had earned eight signatures.
