BellaSera HOA Developer Appointed Board Member Change

The Issue

Lennar is at it again! As many of you are aware Santiago Cuellar was elected to the HOA board on behalf of the homeowners to work with Lennar’s Team in getting things done. However, there has been great resistance from the other board members appointed by Lennar (specifically Jeffrey Alexander and TR Beer) and Campbell representative and part-owner, Brian Tight. They have been unresponsive, difficult, lack care and due diligence as it relates to issues that affect all of us. Furthermore, I find both unethical as it relates to the budget and contracts related to the HOA.

The main issues of concern are as follows:

I. Inaction on the request for special meetings. Not a single board meeting has ever taken place for any association business other than for passing of the annual budget. To get things done for the community regular meetings must be held. Bellasera’s own Bylaws, Section 5.1 reads: “Regular meetings of the Board shall be held on a schedule adopted by the Board from time to time. Meetings shall be held at such place and hour as may be fixed, from time to time, by resolution of the Board.” Also, stated in Florida § 720.303, special meetings must be held. We need Lennar to immediately stop the practice of managing the board and making decisions via email alone. The practice has not been working well and will continue to lend itself to issues in the future.

II. Lack of communication with stakeholders appointed representative. Apparently, these two board members and Campbell representatives do whatever they please and inform after.

III. Unethical doctoring of official HOA records, specifically meeting minutes.

IV. Denying our elected board member, the same privileges that others before him have had, such as involvement in the development of the HOA budget and previewing the Club budget. Denied access to proper financial reports for the first three months of being on the board as well as issues raised by the elected board member went unaddressed for three months.

V. Conflict of Interest. The management company has a stake in companies used by the HOA whereby no other companies were vetted for these contracts. The fees the association pays for these contracts are roughly 20%- 25% more when compared to what other communities are paying. (Example Landscaping $189K compared to $138K similar communities are paying).

Lennar’s Team has been served various notices of our dissatisfaction and intent and has been given ample time to respond yet they have not given us a solution to remedy the situation.

How can you help?

I. As a stakeholder let your voice be heard by signing the petition to remove them from the board and replace them with individuals that have the time to do the work effectively. As per the Bylaws of BellaSera, Section 4.3, which reads: “Directors may be removed with or without cause by the vote or agreement in writing of members holding a majority of the Voting Interests.” And as per Fla. Stat. §720.303(10), which says that Members have the option of removing some or all board members who are failing to perform their duties.

II. By signing the petition, we are requesting that association business decisions be made in the form of an open board meeting as per F.S.S. 720.303(2)(a).

III. By signing the petition, we are also asking for Campbell Property to be replaced as the managing company.

IV. Tell your neighbors that are not on the WhatsApp chat to sign the petition. If you are on Facebook, tell your neighbors there as well.
