
Yacht and Racquet Club of Boca Raton Owners,
First, Marc Albert, Irwin Danels, Michael Kaufman, and myself take our jobs as members of the Board of Directors very seriously and are committed to you the owners. As you probably heard, we were going to hold a special meeting concerning removing certain officers from the Club. As can be noted in Article 2, Section 4 of the bylaws "All officers and agents shall be subject to removal, with or WITHOUT cause at any time by a majority vote of the entire Board of Directors". That meeting has been cancelled for Monday and hopefully will be rescheduled at a later date.
Second, we all had a full understanding of the seriousness involved when you are contemplating the removal and replacement of officers in any corporation. Does the Board of a Corporation consult with their employees and staff before they make a change in management? We closely followed the advice of our attorney and the communication methodology was based on his vast experience. As we have stated many times before, we will be transparent on all issues that don't involve personnel issues or legal issues that have to be held in confidence.
On June 13, 2022, I copied Donna Berger on a letter I was sending to the Board and the officers of the club. She responded back to me the same day stating "We chose to no longer work with your Club. We advised Jory and Jay as to the reasons why via email. YOUR BOARD SHOULD HAVE BEEN ADVISED LAST WEEK THAT WE TERMINATED OUR REPRESENTATION". Fortunately for Jory and Jay I can't disclose the letter at this time due to possible confidential issues. The bottom line of the letter is Jory and Jay have not followed the guidance provided by our corporation attorney on several very serious issues. Those serious issues can possibly create legal issues to not only the club but to the Board of Directors. Under separate cover, I have provided the letter to our Board of Directors for their review. If I had not copied the attorney, none of the board would have known that our corporate attorney was no longer representing us. Attached is a letter sent to Jory, questioning him on why he has not communicated promptly to the board on major issues such as the City of Boca Raton warning letter and closing the physical offices to the members the day after the zoom meeting.
It may also be interesting to note that after nine months Tricia received an estimate to fix the "red tag' issue in the clubhouse for approximately $50,000. If the September 23, 2021 "red tag" issue had been acted upon promptly (that is required by law), we could have paid $50,000 for the repairs and $14,000 for the mold remediation and had use of the clubhouse all season. If we divide the $64,000 by our 366 units (which equates to $175 per unit) we could have had our famous parties, card playing, etc.
I also want to say I have the most respect for Joe Rotberg and he is a very valuable person to our club and management. I am remaining on the board and hopefully, with communications I can help the club as we work through the various issues that we face,
