Village at Ledge Stone: Call a Special Meeting of the Members to Remove POA Board Director
The Issue
This petition concerns the Village at Ledge Stone Property Owners Association (POA) (the "Master Association") located in Austin, TX, USA, and is directly relevant to all legal owners of a lot or condominium unit within the Master Association. As the members of this POA, we hold rights as defined in our Governing Documents, and one of these rights is the removal of any director from the POA Board, with or without cause. As such, we, the undersigned Members, find ourselves motivated to exercise this right, as we seek to remove Michale Callahan from his position as Director of the POA Board.
The basis of this decision stems from a range of concerns raised wherein Michale Callahan has violated Member rights as well as provisions of the Governing Documents and state statutes. Therefore, we propose calling a Special Meeting of the Members, as allowed by POA Bylaws and superseding Texas statutes. The sole purpose of this meeting would be to vote on the removal of Michale Callahan from the POA Board.
By lending a voice to this cause and signing this petition, we, the Members, express our readiness for a more equitable, efficient, and wholesome leadership. The wellbeing of our community depends on it!

POA Bylaws:
2.5. Removal of Directors.
2.5.1. Removal by Members. At any annual meeting or special meeting of the Association, any one or more of the directors may be removed with or without cause by
the Members representing at least two-thirds (2/3) of the votes present in person or by proxy at the meeting, and a successor may then and there be elected to fill the vacancy
4.2. Special Meetings. In accordance with Section 22.155 of the Texas Business
Organizations Code, a special meeting of the Association may be called by: (i) the president; (ii) the Board; or (iii) Members having not less than one-tenth of the votes entitled to be cast at the meeting. It is the duty of the president to call a special meeting of the Association if directed to do so by a majority of the Board or by a petition signed by Members representing at least twenty percent (20%) of the Lots or Condominium Units. The meeting must be held within thirty (30) days after the Board resolution or receipt of petition. The notice of any special meeting must state the time, place, and purpose of the meeting. No business, except the purpose stated in the notice of the meeting, may be transacted at a special meeting.
