The Issue
You must be a member of Reid's Prospect HOA and Eligible to vote to sign this petition. Additionally, we will need to gather written signatures along with this petition.
At the core of any democracy are free and fair elections, homeowner associations are no different. HOA boards of directors are elected to serve their communities and represent the interests of their members.
As a resident of Woodbridge, VA, I have personally experienced the frustration and stagnation that comes from low participation in our homeowners association meetings. This lack of engagement has severely limited our ability to make necessary amendments to our governing documents. These documents are vital for maintaining harmony and order within our community, but they also need to evolve with changing times and circumstances.
According to the Community Associations Institute (CAI), approximately 63% of homeowner associations struggle with low participation rates. This is not just a local issue; it's a nationwide problem that needs addressing. The current situation prevents us from making essential changes that could improve life for all residents.
We need your support to change this status quo. We propose amending the governing documents to ensure all our elections are fair and not monopolized to achieve a result that is not in the best interest of the homeowners.
We propose amendments to the following to the Declaration:
AMENDMENT#1
Whereas Article 3, Section 3.03 (a) Voting Rights of members provides:
Each Class A Member shall be entitled to one (1) vote on each matter submitted to the Members for each Lot owned by such Class A Member. Any Class A member who is in violation of this Declaration, as determined by the Board of Directors in accordance with the provisions hereof and regulations established hereunder, shall not be entitled to vote during any period in which such violation continues. If a Lot shall be owned by more than one Owner, such Owners shall be deemed to constitute a single Class Member as to such Lot and shall collectively be entitled to a single vote for such Lot as to each matter properly submitted to the Members. If multiple owners cannot decide on a vote, the vote shall be forfeited.
Whereas the Association desires to amend Article 3, Section 3.03 (a) Voting Rights of members of Declaration to read as follows:
Each Class A Member shall be entitled to one (1) vote on each matter submitted to the Members for each Lot owned by such Class A Member. Any Class A member who is in violation of this Declaration, as determined by the Board of Directors in accordance with the provisions hereof and regulations established hereunder, shall not be entitled to vote during any period in which such violation continues. If a Lot shall be owned by more than one Owner, such Owners shall be deemed to constitute a single Class Member as to such Lot and shall collectively be entitled to a single vote for such Lot as to each matter properly submitted to the Members. AMENDMENT#2
Whereas Article 3, Section 3.03 (b) Voting Rights of members provides:
The Class B Member shall be entitled to one thousand six hundred (1,600) votes. The Class B membership shall terminate upon the happening of the following events, whichever occurs later
Whereas the Association desires to delete Article 3, Section 3.03 (b) Voting Rights of members of of the Declaration to read as follows:
Delete this Article
AMENDMENT#3
Whereas Article 3, Section 3.04 Board of Directors provides:
The business and affairs of the Association shall be managed by a Board of Directors elected by the members without regard to class of membership. There shall initially be a 3-member Board of Directors. As long as the Declarant has the status of a Class B Member, it shall have the right to appoint all three (3) Directors. Once there are no Class B Members, the directors shall be elected by the Members in accordance with Article 7 of the Bylaws of the Association. The number of directors shall be determined in accordance with the provisions of the Bylaws of the Association.
Whereas the Association desires to amend Article 3, Section 3.04 of Declaration to read as follows:
The business and affairs of the Association shall be managed by a Board of Directors elected by the members without regard to class of membership. There shall be a 5-member Board of Directors. The Directors shall be elected by the members in accordance with Article 7 of the Bylaws of the Association.
AMENDMENT#4
Whereas Article 3, Section 3.05 Adoption of Further Rules and Regulations of the Declaration provides:
The Board of Directors may make such rules and regulations consistent with the terms of this Declaration and the Association’s Articles of Incorporation and Bylaws as it deems advisable with respect to any meeting of Members, proof of membership in the Association, evidence of right to vote, appointment and duties of inspections of votes, registration of Members for voting purposes, voting by proxy and other matters concerning the conduct of meetings and voting. If the Board of Directors shall so determine and if permitted under Applicable Law, voting on elections and other matters, including any matters requiring the approval of the Class A members as provided in this Declaration, may be conducted by mail or by ballot.
Whereas the Association desires to amend Article 3, Section 3.05 of Declaration to read as follows:
The Board of Directors may make such rules and regulations consistent with the terms of this Declaration and the Association’s Articles of Incorporation and Bylaws as it deems advisable with respect to any meeting of Members, proof of membership in the Association, evidence of right to vote, appointment and duties of inspections of votes, registration of Members for voting purposes, voting by proxy and other matters concerning the conduct of meetings and voting.
