Petition to the Board of Governors of the Seabrook Island Club 

We, the undersigned members of the Seabrook Island Club, a non-profit mutual benefit corporation existing solely for the use and benefit of its members and their guests, respectfully petition the Board of Governors (Board) to reconsider the June 12, 2026 resolution authorizing major capital projects and the associated member assessments and dues increases. 

Although the Board conducted “listening sessions,” many members have expressed opposition to many of the proposed projects, including the Player Development Center, changes to the Beach Club/Osprey Café, and the outdoor kitchen. Despite significant member feedback, the Board has chosen to disregard member input and proceed with these projects. 

The current capital plan includes $11.25M in expenditures over 2026 and 2027, including $5.75M for Crooked Oaks Golf Course, $1.7M for a Player Development Center, $2.9M for a new Beach Club Entrance/Osprey Café Expansion, and $400,000 for an outdoor kitchen addition. These expenditures will be funded, in part, through assessments on the Club's membership of: 

• $6,000 for Full/Golf Members, 
• $3,000 for Social/Racquet Members, and 
•  $750 for Community /Neighborhood Members. 

These assessments are being imposed without Membership approval despite the clear intent in the Bylaws that such a large assessment have such approval. 

Despite the findings in the Long Range Plan commissioned by the SBI Board of Governors at an expense of approximately $200,000+ with GGA Partners in 2023, the Board has chosen to commit to capital projects and financing that are contrary to the results and data provided by the survey and strategic plan published on the Club’s website. 

The undersigned Members of the SBI Club recognize the Board’s responsibility to maintain and improve existing Club facilities. However, we believe the Board has a fiduciary responsibility to exercise prudent financial stewardship and to give meaningful consideration to the clearly expressed views of the membership before committing to discretionary projects of this magnitude. 

Accordingly, we respectfully request that the Board: 

• Suspend implementation of all discretionary capital projects until the next Annual Meeting of the Members. (This would not include work planned for Crooked Oaks greens to ameliorate time sensitive problems.) 
• Reevaluate the capital plan and determine Member sentiment by an advisory vote on the ballot at the Annual Meeting. 

We recognize the Board’s legal authority; however, we believe that an advisory process promotes transparency, sound governance, and necessary member trust. This petition is not intended to oppose responsible maintenance or necessary improvements. It reflects our belief that major discretionary expenditures should have broad member support, particularly when they require substantial financial contributions from every member across a wide spectrum of socioeconomic levels and abilities.
