Proposed Amendment to Implement Term Limits for the Boca Greens Board of Directors

The Issue

Homeowners' associations (HOA) were designed to enhance and protect neighborhoods, ensuring that communities are maintained properly for the benefit of all residents. However, when those in leadership positions within an HOA remain in power for too long, the spirit of transparency, creativity, and community engagement can slowly erode. This is why implementing term limits for HOA Board members is crucial.

Currently, our HOA lacks term limits, resulting in entrenched leadership where a few individuals hold power for extended periods. This lack of new perspectives can lead to decision-making that does not reflect the changing needs and desires of the community. Moreover, without regular leadership changes, there is a higher risk of complacency, favoritism, and reduced accountability, which can ultimately diminish the sense of community and transparency vital for thriving neighborhoods.

Implementing term limits for HOA Board members can drive positive change. Term limits would ensure regular leadership turnover, opening opportunities for fresh ideas and diverse community representation. They promote a dynamic and adaptable board, more in tune with current issues and innovative solutions.

That being said, we are proposing 2 amendments:

1. Term Limits for Board Members

Each member of the Board of Directors shall serve no more than two (2) three-year terms. After completing two terms (a total of six years), whether consecutive or not, a Director must step down and shall not be eligible to run for election to the Board again for a period of three (3) years.

This provision shall apply retroactively as a transition rule. Any Director who, as of the effective date of this amendment, has already completed two (2) full terms (a total of six years, whether consecutive or not) may complete the remainder of the current year but shall cease serving on the Board at the conclusion of the next annual election following adoption of this amendment. Such individuals shall not be eligible to run again for election to the Board for a period of three (3) years.

For purposes of this provision, service of more than one-half (1/2) of a term through appointment to fill a vacancy shall be considered a full term.

2. Filling Vacancies on the Board

If a position on the Board of Directors becomes vacant for any reason—including, but not limited to, disability, death, resignation, sale of a property, or ineligibility under the term-limit rule described above—the vacant position shall be filled by a vote of the members of the Association rather than by appointment of the remaining Board members, as currently provided in the Bylaws.

To move forward, we urge fellow homeowners to collectively advocate for the adoption of term limits in our HOA bylaws. It’s time to bring about a more balanced and equitable governance model. By signing this petition, you are voicing your support for a fair, vibrant, and evolving community leadership.

In accordance with the governing documents of our Association, the undersigned homeowners respectfully request that this proposed amendment establishing term limits for HOA Board members be submitted to the membership for a vote at the next available membership meeting, or through another legally valid voting procedure permitted by the Association’s governing documents, within three (3) months of the submission of this petition.
