Call for Homeowner Majority Representation on The Meadows HOA Board
The Issue
Dear Toll Brothers Management,
On October 24, The Meadows community held a successful recall vote, resulting in the removal of the entire Board of Directors (BOD or board) of The Meadows HOA, with a strong majority of “yes” votes from participating homeowners. In light of this outcome, an election for a new HOA board is scheduled for December 5th.
The recall vote was initiated in response to serious concerns that the previous board neglected several pressing issues impacting homeowners. There is a strong desire among all of us for a board that prioritizes the interests and goals of homeowners. Our community faces significant challenges that require more dedicated homeowner representation. Key areas of concern
include:
• Opposition to Proposed Industrial Development Adjacent to The Meadows: The 26200 Enterprise IPT project proposes a warehouse and manufacturing facility near our community, with two additional facilities planned. These could potentially operate 24/7 and store and/or manufacture items that might pose unknown risks. This development
project could also bring significant traffic, noise, and pollution to our neighborhood and a nearby senior housing complex. To our great disappointment, the previous HOA board took a hands-off approach to this significant threat.
• Traffic and Safety Issues in The Meadows: Safety concerns have increased in recent years, with numerous adverse incidents around The Meadows as heard and experienced by many of us. A discussion and ultimate implementation of additional measures, such as gated access (with homeowners’ approval), are urgently needed to mitigate risks, present and future, posed by undesirable and potentially dangerous safety and traffic
conditions within and around The Meadows. However, the previous board steadfastly opposed such measures without effective communication with residents.
• Community Amenities and Maintenance: Regular upkeep of public areas and amenities is essential to maintaining our living standards and effectively managing costs for all homeowners. The previous board could have done more and better to address those issues, such as the broken lawn irrigation system in the public areas as well as the resulting water wastage, which has caused mounting frustration among all of us.
Earlier this year, a letter entitled “Request for Removal of the HOA Board and Re-election of a New Board” was circulated and signed by many homeowners, highlighting our concerns and calling for increased homeowner participation in the board. The strong support for this letter
campaign reflects the community’s collective desire for a board that truly represents homeowners.
The previous board composition included three seats appointed by Toll Brothers and two homeowner representatives. However, with 89.5% of planned lots, including those in the Sequoias subcommunity, now closed and largely occupied, we believe it is time to adjust the board structure to more closely reflect the occupancy rate in The Meadows. We hereby propose that the new board consist of four homeowner representatives and one Toll Brothers-appointed member.
Our proposal is not without precedent. The nearby Portola Springs community, with a similar homeowner occupancy rate, has a balanced board of four homeowner representatives and one builder representative on a five-member board. A similar structure for The Meadows can better
represent our established community and ensure proper governance that aligns with homeowner interests.
Another point to consider is the timing of the planned transition from a builder-controlled HOA board to a homeowner-controlled board, which would likely have occurred around now, with the original Meadows development (excluding Sequoias) nearly fully completed. The land now
occupied by the Sequoias subcommunity was initially designated for an elementary school but was reallocated for residential development late in The Meadows’ overall development timeline. Toll Brothers’ decision to retain control of the HOA board while its new Sequoias subcommunity is being developed feels unwarranted and unfair to existing homeowners.
In light of these considerations, we believe it appropriate for Toll Brothers to relinquish its majority control over the board and help create a governance structure that better serves The Meadows community.
