POINT 1
Greg, in reference to your attempt to mediate the situation between Darlene and the four board members who ambushed her and asked for her resignation as chairperson of the board:
- How would members of the Association know about a private meeting that you and other board members discussed having? Wouldn’t this be a Work Session by our bylaws, where members can listen? The board chair position and the potential repercussions on the GM were serious matters for the Association. Perhaps you should have sent out an email or made it a Zoom meeting to create some of the much-needed transparency that the membership has been asking for.
POINT 2
As evidenced by the timeline below, I believe you did not ever intend to release the engagement contract with Rosenn Jenkins & Greenwald LLP, but only did so after I pursued it with the help of an attorney.
-December 21, 2021: The Board approves $10,000 for the investigation; however, the firm was not chosen until January 6th. I waited a month to see if the Board would be transparent and post the contract or offer to supply it to the membership.
- February 10, 2022: I requested information on the engagement contract and payments. To date, my question as to which GL code the payments were coming from was not answered.
- February 15, 2022: The Board received an email from myself with an attachment from my attorney, James Gallagher Jr., Esq., from King Laird. It requested the engagement contract. Later that evening, the Board approved another $10,000 to be paid to Rosenn Jenkins & Greenwald LLP.
- February 16, 2022: The Board finally votes to release the redacted engagement contract.
- March 3, 2022: A hard copy of the redacted contract was made available at the administrative office through a request for documentation form. Of note, when I went to the office, there was no such form and I had to guide staff on how to create it.
POINT 3
-At the December 11, 2021, Town Hall meeting, Shannon our General Manager said she had concerns about her work environment BUT she stated that she was here and working for the whole of BBLCA and was not going anywhere. Yet, on January 5th, she gave her 60-day resignation letter. Shortly thereafter on January 11th, she left. One can only surmise that the conclusions and recommendations from the report of Rosenn Jenkins & Greenwald LLP (Section IV, subsection e.) were correct, and poor interactions with the General Manager had continued.
POINT 4
- Whether or not you agree, the timeline is correct that we have lost many employees since Shannon has left. Whatever their reasoning, this still was a significant loss to BBLCA. At the mention of Eric returning, there were even persons in attendance at the meeting on Saturday, March 19th, saying “no way!” Why is that?
POINT 5
- I saw that you are 'hung up' on the term customary, which is commonly practiced or observed act of courtesy. One would also say transparency. No one at the February 16th meeting asked why Jane resigned and that is her business. However, to make a brief announcement at the beginning of the meeting, which had less than perhaps 70 participants, is not transparency. Frankly, the petition was emailed to more people; 250 to be exact. Those emails were obtained from the Frontsteps BBLCA page and obviously not a complete list of the membership. I did give the Board the courtesy of requesting that you send it out. Fair warning and transparency on my part. Not one of you reached out to discuss it with me.
