Stop the Financial Ruin of Small Businesses: Reform Form 5500 Penalties Now!

To: The United States Senate and House of Representatives Regarding: Amending the "Form 5500 Filing Simplification Act"

                                                                                               The Crisis: A $150,000 Death Sentence for Paperwork Errors

Small businesses are the backbone of our economy, yet they are currently trapped in a regulatory nightmare. While the federal government encourages small employers to offer retirement plans and states are now mandating that small businesses offer retirement plans, a "penalty trap" that can destroy a business over a simple, good-faith clerical error has emerged.

The Form 5500 Filing Simplification Act would simplify Form 5500 administration by establishing a single later filing deadline for annual reports and permitting electronic signatures, effectively moving calendar-year filings from the current July 31 deadline to October 15.

That modernization is welcome as many plan sponsors sign a 5500 and submit it to their Third Party Administrator to electronically file. Once filed, the sponsor’s signature is fully displayed on a public searchable database for anyone to forge. Other forms like Form 990 is filed similarly, except on the 990 the signature box is redacted. Yet no such redaction are made for Form 5500. As such, modernization is welcome and will reduce forgery by eliminating a wet forgeable signature and allowing for an electronic one.

However the Form 5500 Filing Simplification Act does not address the most urgent problem confronting small business retirement plan sponsors: a late-filing penalty structure that is economically devastating, legally troubling, and wildly disproportionate to the conduct being punished.

The reality is brutal: A late filing of a Form 5500—an informational, tax form that is required to be filed if your business offers a 401k plan—can trigger an automated, computer-generated IRS penalty of $250 per day, reaching a catastrophic maximum of $150,000. When coupled with potential Department of Labor penalties that can exceed $2,700 per day with no cap, small businesses are facing potential seven-figure liabilities for administrative oversights that cause zero loss to the U.S. Treasury.

This is not "compliance enforcement." This is the systemic destruction of Main Street businesses.

                                                                                                                                       Why This Must Change


In 2019, Congress increased these late-filing penalties ten-fold. Today, these fines are wildly disproportionate to the "offense," possibly violate the Constitutional Excessive Fines Clause, and create a two-tier justice system where only well-resourced companies can afford the specialized legal help needed to navigate the maze and avoid ruin.

Small business owners—bakers, local manufacturers, and service providers—are not tax cheats. They are hard-working entrepreneurs trying to provide for their employees. They wear many hats. They are the CEO some days and the CFO on others. While on many days they may be cleaning a toilet in their business. They should not be forced into insolvency because they were busy running a business and missed a filing deadline on a complex, outdated form they barely understand.

                                                                                                                   The 5500 Project's Demand to Congress


We, the undersigned, urge Congress to amend the Form 5500 Filing Simplification Act to include the following four common-sense, proportional reforms:

  1. Establish Revenue-Based Proportionality Caps: End the one-size-fits-all $250 per day penalty up to $150,000. Tie penalties to a percentage of actual business revenue or median income to ensure penalties don't exceed the business's ability to survive.
  2. Mandate a One-Time "Clean Slate" Amnesty: Codify a permanent, $750 flat-fee resolution for first-time, good-faith small business filers, regardless of whether a notice has already been issued.
  3. Abolish the Post-Notice Disqualification Trap: Stop punishing small businesses for responding to government notices. Any first-time filer who corrects their error upon receiving a notice should be granted access to affordable, reduced-penalty settlement paths.
  4. Codify a 90-Day Cure Period: Prohibit the accrual of daily, compounding penalties until the IRS or DOL provides a clear written warning and a mandatory 90-day window to correct the administrative oversight.
