We would like to bring to your kind attention that, most of the current Board of Directors /Executive Committee members of the organization have been violating this year (and continuing) to violate California Non-Profit Laws and its own bylaws, both knowingly and willingly.
The byelaw amendment started without any general body meeting with proper notice and transparency to get feedback, The feedback given on Aug 14 online meeting was disregarded. more than 95% of people opposed many changes in bye law in the meeting. VP admin has requested other executive members to listen to members feedback. VP admin has been excluded from several meetings via resolution. Anybody who questions are removed from communication and meetings. VP admin is elected by members and has all rights to represent members thoughts.
When many events are conducted in person but unfortunately bye law amendment voting are conducted online leads to suspicion. We have lot on questions on proper conduct of voting and membership databases .
The clause that president certificate is needed to contest a election, hierarchy position like City representative makes Tamil manram to be political party and not a community organization run by volunteer to promote tamil art and culture. This is mostly an effort to keep the position within a group.
Unfortunately, Tamil manram rather than focusing on Tamil culture is mostly focussing on conducting hindu festivity . Tamil manram has members of all faith and so should consider staying away from event in the name of religion.
The following are the violations that the current Board members of Tamil Manram have done from the beginning of this year (2022) till date:

California Corp codes:
5231, 6330, 6331, 6332, and 6333: (a) The Duty of Care, (b) The Duty of Inquiry, and (c) The Duty of Loyalty
6334: The accounting books and records and minutes of proceedings of the members and the board and committees of the board have not been made available for inspection by other Board member upon the written demand for several months
6333: The accounting books and records and minutes of proceedings of the members and the board and committees of the board have not been made available for inspection by members upon the written demand for several months
6330: Neither providing membership database upon requests from multiple members for communicating key issues, nor providing alternative communication mechanism)
Illegal and improper use of funds by using Lawyers and Insurance for acts which would not be covered under negligent act, wrongful act, errors and omissions and which are violations of California Corp codes and bylaws
Improper use of funds for Calendar which was done in violation of the bylaws
Breaches of fiduciary duties: Fiduciary duties have been breaches numerous times from Jan 1 till date by the Board members in spite of written warnings
Not including Administrative Vice President in all critical decisions made by the Board (even though there is no provision for ‘termination’ or ‘suspension’ of elected Board members in our bylaws).
Adding members to the organization through a process which was in violation of the then bylaws
Amending bylaws without any member verification process, auditing process and neutral officer in spite of repeated written requests
Appointing Election Officer who is not eligible according to the bylaws
We are sorry to state this. Except one member of the 2022 board (Vice President Administration), the rest of the current Board of Directors/Executive Committee members of the organization have been allowing the Board to continue to violate California Non-Profit Laws and its own bylaws, both knowingly and willingly. Only VP Administration in this Board has been opposing and raising all these violations to them. Because our organization bylaws state that the majority (Board members) decision prevails, the current Board did not heed to me and did (and continuing to do) all those violations.
These careless and blatant violations will not only erode the secular, democratic, and culturally diverse foundations that had been established by the founding fathers, most importantly it will erode the fidelity we have in the esteemed California State Judicial System and will encourage the disregard for the same. Hence, request your intercession to stop the abuse and audit all the actions taken by these directors of the San Francisco Bay Area Tamil Manram (Tamil Manram, Bay Area Tamil Manram-BATM) at the earliest.
It is our sincere and earnest expectation that the current directors pause the voting process of the By-law Phase-2 changes immediately before its planned closure on 9/16/2022, fulfill their fiduciary duty by following the due process, and engage in answering questions by the concerned members, before resuming the voting. We sincerely request help from the Office of the Attorney General to ensure that due process is followed to ensure democratic means prevail within a California registered non-profit organization. Looking forward to hearing from you.
Also Executive committee is helping some specific concert conducted by some members without demanding any sponsorship amount. Any business entity which needs to promote a event needs to pay sponsorship amount, which is few thousand dollars, but sadly one particular celebrity concert is promoted without any sponsor amount which is discrimination to business entity which pays sponsorship amount.
