This resolution concerns immediate removal of the Board of Directors of the Iranian Canadian Congress (ICC).

The members of the ICC invoke their vested statutory authority under sections 107(g) and 109(1) of Canada Business Corporations Act R.S.C., 1985, c.C-44 in removing any, and all current directors from their respective positions in the Board of Directors. An interim caretaker Board of Directors comprising three of the original founders of the ICC shall govern the organization until the next scheduled Annual General Meeting.

In light of unmitigated circumstances surrounding COVID-19, the members conduct their special meeting via signing this resolution.

This resolution is based on the following facts:

1.       The mandate of the current Board of Directors completed on April 29, 2020. Due to uncertainties surrounding COVID-19, a general election was suspended indefinitely. Some of the current Board members or their close affiliates might decide to run for the election. Their access to the ICC tools and facilities – such as the ICC website, members’ email list, Facebook page, finance, etc. – would give them advantage over other potential candidates.

2.       Due to the Board’s wrongdoings, including those admitted in the settlement signed on August 23rd, 2019, a large number of community members hesitate to become members of the ICC while the current Board is in office. Now that their mandate is over, their removal would facilitate a wave of new memberships.

3.       Despite the terms of the settlement signed on August 23rd, 2019, the Board has continued its partisan activities and had refused many calls for transparency, non-partisan activities, and submission of an audited financial report. Such activities and negligence have jeopardized the interests of the membership and the Iranian-Canadian community at large.

In lieu of the rationales enumerated, and the background provided, the signatories, members of the ICC, immediately remove the current Board of Directors providing them with no more than one week to respond.

قطعنامه اعضاء

این قطعنامه به برکناری فوری هیئت مدیره کنگره ایرانیان کانادا (کنگره) نظر دارد

اعضای کنگره با استناد به اختیارات قانونی که در مواد

107 (g) & 109(1)

به آن‌ها داده شده تمامی مدیران کنونی را از مقام‌های‌شان در هیئت مدیره برکنار می‌نمایند. یک هیئت مدیره موقت شامل سه نفر از بنیان‌گذاران اصلی کنگره تا زمان برگزاری مجمع عمومی سالیانه بعدی سرپرستی موقت این نهاد را بر عهده خواهد گرفت

با توجه به نامعلوم بودن شرایطی که همه‌گیر شدن کوید-19 بوجود آورده، امضای اعضا در پایین این قطعنامه به‌منزله برگزاری مجمع عمومی فوق‌العاده است

این قطعنامه بر مبنای واقعیت‌های زیر بنا شده است

1.       دوره هیئت مدیره کنونی در تاریخ 29 آوریل 2020 به پایان رسیده است. انتخابات همگانی به دلیل شرایط نامشخصی که کوید-19 بوجود آورده است تا زمان نامعلومی معلق گردیده. برخی از اعضای کنونی هیئت مدیره یا همفکران‌شان ممکن است تصمیم بگیرند در انتخابات شرکت نمایند. دسترسی اینان به ابزار و امکانات کنگره – نظیر وبسایت، فهرست ایمیل اعضا، صفحه فیسبوک، دارایی‌های کنگره، و غیر از آن – آنان را در موقعیت برتر نسبت به سایر نامزدها قرار می‌دهد

2.       به‌دلیل خلافکاری‌های هیئت مدیره، از جمله مواردی که در توافق‌نامه امضا شده در 23 آگوست 2019 به آن‌ها اعتراف کرده‌اند، تعداد زیادی از اعضای جامعه تا زمانی که هیئت مدیره کنونی این نهاد را مدیریت می‌کند از عضویت در آن پرهیز می‌کنند. اینک که دوره اینان به پایان رسیده، برکناری ایشان شرایط را برای موج جدیدی از عضویت اعضا هموار می‌کند

3.       به رغم امضای توافق‌نامه 23 آگوست 2019، هیئت مدیره به فعالیت‌های جانبدارانه سیاسی خود ادامه می‌دهد و از پذیرش بسیاری درخواست‌های اعضا در زمینه شفافیت، کردار غیر جانبدارانه سیاسی، و ارائه گزارش تایید شده مالی سر باز زده است. رفتارها و نادیده‌گیری‌های این‌چنینی، منافع اعضا و به‌طور کلی جامعه ایرانی-کانادایی را به‌خطر انداخته است

بنا بر دلایلی که برشمرده شد و پیش‌زمینه‌ای که ارائه گردید، امضاکنندگان زیر، اعضای کنگره، هیئت مدیره کنونی را فورا برکنار می‌نمایند و به آن‌ها حداکثر یک هفته برای پاسخگویی فرصت می‌دهند
