Demand Removal of Kerrie Prowse from the Ocean Pointe Community Association Board
The Issue
TO: President Rito Saniatan, Vice President Sue Trombley, and the Board of Directors
Ocean Pointe Residential Community Association
We, the undersigned, object to the board’s decision to re-appoint Kerrie Prowse to the Ocean Pointe Community Association Master Board and request her removal. We demand a special association meeting to consider and vote on her removal and, if removed, elect a successor for the remainder of the term she was appointed through the proper voting procedure, with reference to the results of the 2026 annual meeting votes.
The May 5, 2025 forensic examination status report identified association-funded gift-card purchases for which the documentation did not clearly identify the recipients. There are also numerous documented instances of Kerrie Prowses use of the Ocean Pointe Community Center, with no record of payments made for the usage of it, where all others need to pay a fee to use.
Ms. Prowse acknowledged distributing association-funded gift cards to family members and to the Hoakalei Cultural Foundation, where she serves as a director, and subsequently reimbursed the Association for those gift cards. She was asked to resign from the board in October of 2024. In our judgment, reimbursement does not resolve the resulting concerns about judgment, transparency, and accountability. We request a substantive explanation from the Board regarding its decision to reappoint her and an opportunity for eligible Voting Members to vote on her removal.
The current board members that voted in favor of her return to the board should also be removed. The are:
RITO SANIATAN - PRESIDENT
GARY JOHNSON - DIRECTOR
MICI FREEMAN - TREASURER
RHONDA SHAVER - DIRECTOR
BYLAW AUTHORITY AND MEETING DEMAND
Article III, Section 4 of the October 1998 Bylaws permits removal of a director elected by Voting Members, with or without cause, by Voting Members holding a majority of the votes entitled to elect that director. It requires advance notice to the director and election of a successor by the eligible Voting Members upon removal.
Under Article II, Section 4 , the President must call a special association meeting upon a petition signed by Voting Members representing at least 10% of the Association’s total Class A votes. Each qualifying Voting Member’s signature expressly joins this meeting demand. Upon satisfaction of that threshold, we demand that the President call the meeting. We also request that the Board independently direct the meeting by the resolution authorized in that section.
The notice must state removal and election of a successor if removed as the meeting’s purposes. Article II, Section 5 requires notice to eligible Voting Members 10–50 days before the meeting and limits its business to the stated purposes. The 2026 annual meeting vote results should inform consideration of the successor, consistent with the election required by Article III, Section 4.
PETITION SIGNATURE AND MEETING DEMAND
By signing, I endorse this petition and intend my handwritten or typed electronic signature to authenticate my endorsement. If I am an eligible Voting Member, my signature also requests the special association meeting under Article II, Section 4. This petition is not a removal ballot or proxy.
