Pioneer HOA - Board Recall Petition

The Issue

The Pioneer Canyon HOA is on the brink of making a dire financial mistake. The current HOA board is attempting to impose a $30,674 per unit assessment on Townhome owners without homeowner approval. If this moves forward the HOA will be paying back $3.6m in loans over 20 years, or $53,040 per unit.

We are requesting a special meeting to vote on recalling the board. This is based on the following serious concerns:

  1. Unauthorized Financial Commitments - Significant financial obligations have been undertaken without appropriate consultation, notice, or approval by the membership, in violation of fiduciary duties and potentially RCW 64.38.020(3), which mandates that officers act in good faith and in the best interest of the association.

  2. Lack of Transparency and Board Secrecy - The board has repeatedly failed to disclose critical information to the membership regarding board decisions, in violation of RCW 64.38.045, which requires that association records be made reasonably available to unit owners and that board actions be conducted with transparency. Further, financial statements and meeting minutes have not been taken or made available the past 3 years.

  3. Conduct Contrary to the Common Interest - The board has taken actions inconsistent with the welfare and expressed interests of the association's membership, contributing to divisions and eroding trust among homeowners.

  4. Board Members Serving Without Proper Election - Two directors continue to act in executive capacities without evidence of being properly elected by homeowners as required by our By-Laws. With missing meeting records and minutes, there is no documentation showing these directors were legitimately re-elected when their terms expired. This undermines board legitimacy and governance.

Additional concerns include:

  • Failure to explore alternative approaches to repairing townhome roofs (e.g. phased approach, individual roof repairs, etc.).
  • Failure to address longstanding roofing issues in a timely fashion.
  • Failure to provide adequate notice or meeting minutes in a timely manner.
  • Refusal to respond to reasonable information requests from members.
  • Initiation of contracts or expenditures without documented board vote or owner awareness.

In accordance with RCW 64.38.035(1), which grants homeowners the right to call a special meeting for any lawful purpose, and as authorized by Article II, Section 4 of our HOA By-Laws, we, the undersigned, herby request a special meeting of the Pioneer Canyon HOA membership to recall the current board and elect a board that supports the interests of the owners.
