Here is some more background information on the building before the purchase:
· On February 15, 2021, the Cabarrus County Commissioners confirmed that Cardinal owned the property located at 4855 Milestone Avenue free and clear with no liens. The property could be sold, and the County was not interested in the property. It had been vacant since 2017.
· Between April and May of 2021, the County submitted a letter of intent with an offer, but it had not been finalized or executed by either party.
· On June 14, Dogwood Classical Academy toured the building and two days later submitted a significantly better offer. On June 18, 2021, Cardinal contacted Cabarrus County and told them of the offer. The County did not counter.
· Dogwood completed a title search, and the property was free of liens and solely owned by Cardinal. In light of knowledgeable counsel to be wary, Dogwood considered the facts, including the quality of the facility, its location, and their own timeline to open, and decided to proceed with the purchase.
· The contract was signed on June 23, 2021, and earnest money deposited on June 30, 2021, by Dogwood. On July 7, 2021, Cardinal and Dogwood were sent a Notice of Condemnation on the property by the County as the first step in seizing the building via eminent domain. Immediately upon going under contract with Cardinal, Dogwood invested substantially to hire an architect and contractor to supply blueprints and other services. Dogwood has asked the County to stop the action of eminent domain, because the property was for sale on the open market and the County had no lien or legal obligation from Cardinal to relinquish the property. By legal standards, the deal was a routine commercial real estate transaction. The County lost the bid in a legitimate process, so has resorted to illegitimate means to acquire the Milestone property.
