Subject: Your Proposed Non-Profit Dippikill Foundation
Dear Rick,
Decades ago, you proposed that a Non-Profit Dippikill Foundation be created to serve as a mechanism to support Dippikill.
As I recall, the Dippikill Board Chair and Student Association President at the time did not approve of the idea.
After yesterday's SA Public Forum on Dippikill, it is apparent that the Student Association is moving toward defunding Dippikill. It is unclear what happens next...
By copy of this email to SA, including the incoming SA President-elect, should the SA Senate act to defund Dippikill at the Wednesday SA budget meeting, I propose the Dippikill Foundation you once envisioned be created (or an endowment alternative) and the deed of the Dippikill property be transferred over to this new entity and/or its new non-profit parent corporation as the law permits, which would take over operating and funding the facility for the benefit of the University at Albany community and all of its stakeholders.
As a former SA President, former Dippikill Board member, and an original Dippikill incorporator, I would point to the dissolution of corporation clause in the Dippikill Certificate of Incorporation (attached), which allows, upon the dissolution of Dippikill, Inc., for the property to be transferred to another qualifying IRS tax-exempt non-profit 501(c)(3) entity.
I hope this email sparks discussions to bring such a proposal into fruition to "Save Dippikill."
I am sharing this open email with other interested parties via social media for their information with a request for support of this idea you originally came up with years ago.
