The Articles of Incorporation list our current board members who are also considered the initial Executive Board. If these duties have been transferred since the creation of this initial Executive Board it is not present on the San Marino HOA website. Regardless, whomever is on our Executive Board are also the Officers. The San Marino By-Laws state the following under ARTICLE IV. OFFICERS:

Officers. The officers of the Association shall be a President, Secretary, and Treasurer. Any two or more offices may be held by the same person, excepting the offices of President and Secretary. The President and Treasurer shall be elected from among the members of the Board. The Board may appoint such other officers, including one or more Vice Presidents, Assistant Secretaries, or Assistant Treasurers, as it shall deem desirable

At this time The Articles of Incorporation list only three members names so I would have to assume we at least know whom is the President, Secretary, and Treasurer. For additional documents not found on the HOA site please perform a search on the website Johnston County Register of Deeds.

Management as you know is being handled by Towne Properties Raleigh District located at 8305 Falls of Neuse Road, Suite 200, Raleigh, NC 27615. While the Association is the San Marino Subdivision Homeowners Association Inc located at 8310 Bandford Way, Raleigh, NC 27615. All documentation recorded and provided to the aforementioned Johnston County Register of Deeds are created by 42 East LLC. So what does Management do? The following is defined within our By-Laws:

3.19.Management Agent. The Board may employ for the Association a professional management agent or agents at a compensation established by the Board to perform such duties and services as the Board shall authorize. The Declarant or an affiliate of the Declarant may be employed as managing agent or Manager. The term of any management agreement shall not exceed one year and shall be subject to termination by either party, without cause and without penalty, upon not more than 90 days’ written notice.

Thus far responses from Management have been canned emails without full details. However, it is possible Management themselves are only receiving these generic statements from the three Officers in the Association mentioned previously. We need to get a handle on where the disconnect is and why home owners are seemingly not being listened to. In a best case scenario its as simple as miscommunication within this organization. We need more information before determining a worst case scenarios.
