TJCA BOARD MEMBERS VIOLATED OUR BYLAWS!!

Ingeborg CollinsShelby, NC, United States
17 Sept 2018

Recall when Board Chair Ray Maxwell disputed the claim that “this Board quickly modified the Board’s Bylaws in order to implement or change the classical curriculum” at the heavily attended Board meeting during his 27 minute Chairman’s Moment?

Let’s dissect this statement a bit. First, he used the terms “quickly” and the reference to “changing the classical curriculum” so as to focus the assertion on a specific area and distract us from what was actually noted by concerned stakeholders.

The Bylaws changes may seem innocuous on the surface. I am referring to the changes made in May 2018 and August 2017 regarding how members of the Board were recruited and how the important Officer positions on the Board were determined. More about that in tomorrow’s update.

But first, I am focusing on the VIOLATION OF BYLAWS that was undertaken to bring Elizabeth Sabolovic and Steve Herndon onto the Board as At-Large Board members in February 2018 ( Board minutes here look at 3rd page under Personnel/Policy Comm).

Until July 2017, they were two Parent Forum Representatives that served two year terms. Parent Forum representatives were elected by the Forum to serve on the Board. These positions were eliminated as of August 2017. Elizabeth Sabolovic and Steve Herndon served in this role but remained on the Board as Parent Forum Representatives even though this position was removed per the August 2017 Bylaws. They should have exited in July 2017!

Under the Bylaws that were approved August 1, 2017 that were IN EFFECT at the time of the February 2018 meeting where Elizabeth Sabolovic and Steve Herndon were magically made At-Large Board Members, Board members may fill a vacancy on the Board in the following manner:

“Vacancies in the Board may be filled by a majority vote of the remaining members of the Board at any meeting, but notice of such a vote must be given at the regularly scheduled meeting immediately preceding the meeting in which a vote is to take place.” [The purpose of this is so that any stakeholder who is opposed has time to object]

“Policy 1600: candidates for Board membership will be interviewed…(paraphrased)” [The allows other people a chance to apply for the position]

The regularly scheduled meeting immediately preceding this meeting was December 5, 2017. Do you see where the vote for this was announced in these minutes? Neither do I. Nor do the scores of other parents who have spoken up and have been shut down by Board Chair Ray Maxwell asserting his own narrative. Board Minutes here

Normally, one would go through the normal interview process with other candidates in order to be considered for the Board.

But it sure is easier for Board Chair Ray Maxwell and Vice Chair Andy Francis to solidify their opposition to Joe Maimone by bringing on members in violation of the Bylaws. Now there would be two more votes for their side of the aisle. That’s how they do it folks! (Along with revolting themselves back in!)  Very sly Mr. Maxwell and Mr. Francis!

THEREFORE: TJCA BOARD, headed by Mr. Ray Maxwell, we as parents demand you remove Elizabeth Sabolovic and Steve Herndon from the Board IMMEDIATELY. You have violated the Bylaws and thus our School Charter.

Please contact the Board Members to voice your opposition to their practices that are violating our Bylaws and Charter!
