Allegro Owners Demand that the Board Must Recognize the Election Results and Concede!  Stop Using our Common Charges to Fund a Legal Battle to Keep Yourselves on the Board! 

Failure to abide by this Owner Petition will result in public and legal action against the Board, individual Board members and other parties who have facilitated this false election result.

Annual Meeting and Elections

The election outcome and actions by management communicated on December 24, 2020 are not in accordance with the By-laws.

The meeting and election process were planned, managed and conducted in a manner unbecoming of a professional Condo Board and Management Company. 

Three new Board Members should have been elected at the 12/21 Annual Meeting

  • The highest percentage of votes were for 3 Owners who challenged the Board members up for reelection (determined from an independent review of proxies and ballots provided by the Board);
  • A total of 39 proxies were submitted on behalf of these 3 alternative candidates (of which almost all were acknowledged by Maxwell-Kates);
  • The Board changed language in the proxy from the November 2020 failed Annual Meeting and the rescheduled December 21 Annual Meeting to inappropriately narrow the scope of proxy holder action, not in accordance with the By-laws;
  • The Board voided most of these proxies, against the By-laws, yet used them towards the determination of a Quorum;
  • The Board and Maxwell Kates has not responded to repeated requests, for support of the Quorum calculation and voting eligibility on December 21 evidenced by the Zoom audit trail of attendees and proxies;
  • The Board inappropriately extended voting into the following day, December 22 and allowed and encouraged the changing of proxy votes post-Annual Meeting, against the By-laws;
  • The Board communicated a false election outcome on December 24, re-electing the 3 Board members, against the By-laws;
  • One of the "re-elected" Board Members listed his apartment for sale 2 weeks after the December 21 Annual Meeting and will be replaced by appointment by the remaining Board Members rather than election;
  • The unelected Board is using Owner Common Charges to pay for legal services to avoid, stall and disparage Owners who have retained counsel in an effort to obtain election information;
  • The unelected Board has raised Common Charges and imposed a Special Assessment despite the election results being challenged

After the failed November 2020 Annual Meeting, a large group of Owners met, agreed and communicated to the Board on December 3 that:

  • The Board members should not serve unlimited terms;
  • Communication and transparency needs to be improved;
  • Other changes made in-line with competitor buildings

The Ownership demand:

  • The recognition of the valid December 21 election results;
  • A rescission of increases in Common Charges and imposition of a Special Assessment;
  • A halt to material decision making including the execution of contracts until the duly elected Board is in place; and
  • A termination of wasteful spending of Owner’s Common Charges on legal fees to defend a false election result
